The home I want to purchase is titled into an existing Panamian corporation. My partner and I can act as the Manager and Treasurer, but I still need a third party to act as Secretary. Would I ask an attorney in Panama, for example, to act in that roll? Am open to ideas or recommendations or referrals. I don't know anyone in Panama, and my family members in the USA are not a viable choice. Any ideas would be appreciated.

You as the president have sole control of the corporation, the next most important player is the secretary. The treasurer is only a figurehead. Appointing a family member in the US is not a problem unless you want to open a corporate bank account then you will have to get all the information from the US for your family member. Opening corporate accounts here is a pain and really not necessary unless you plan to use it for a business.

Just remember that the seller has to pay the transfer tax or you are liable for it. The loophole with corporations to avoid transfer and capital gains taxes has been closed.

My attorney advised that the secretary needs to be in Panama to have signature authorized. You can occupy 2 positions in the corporation and your partner can occupy the third position. Here is her contact info: Licda. Mayra Lamboglia De Ruzzi Attorney
