Setting up a company

Hi, we run a software company and are planning to setup a company in Sri Lanka for software development.

The company will do the software development work for us and we pay development fees to this company.

I understand that there is a company called "Offshore company" in Sri Lanka.
Can we do this software development work if we setup an Offshore company?

Or do we have to set up an incorporated company or branch?
